1. Terms of Use

1.1. proofnest is pleased to provide you, as the user, its web application available at proofnest.ai and any related documentation, tools, and services. proofnest is operated by Hofmax Solutions Limited, a company registered in England and Wales (Company No. 16919266, registered 18 December 2025), with its registered office at Office Suite 29A 3/F, 23 Wharf Street, London, United Kingdom, SE8 3GG.

1.2. By accessing, registering, or using proofnest, you agree to be bound by these Terms of Service. If you do not agree with these Terms, do not use the service. Each time you use or access the service, the current version of these Terms shall apply.

1.3. proofnest reserves the right to modify, add, or remove any features, data sources, report sections, AI models, or functionality at its sole discretion and without prior notice. proofnest shall not be obligated to provide explanations regarding such changes.

1.4. Your use of the service is also subject to our Privacy Policy and Cookie Policy, incorporated into these Terms by reference.

1.5. We may amend these Terms at any time. Continued use of proofnest after amendments are published constitutes acceptance. If you do not agree with any amendment, you must discontinue use immediately.

2. Service Description

2.1. proofnest is an AI-powered market research platform that generates reports using automated data collection, AI analysis, and third-party data sources. The service operates in two modes:

• Trend Hunter: discovers and validates market opportunities
• Deep Dive: investigates a specific idea with a structured report and verdict

2.2. Reports are generated by AI systems that collect data from publicly available sources, process it through multiple analytical layers, and produce structured findings. The service is automated and does not involve human analysts reviewing individual reports.

2.3. IMPORTANT — AI-GENERATED CONTENT DISCLAIMER: All reports, analyses, verdicts, scores, recommendations, and data presented through proofnest are generated by artificial intelligence systems. AI systems may produce inaccurate, incomplete, outdated, or misleading information. proofnest does not guarantee the accuracy, completeness, timeliness, reliability, or fitness for any particular purpose of any information contained in reports.

3. Third-Party Data Sources and Services

3.1. proofnest relies on multiple third-party data providers, APIs, search engines, and AI models to generate reports. These third-party services operate independently and may experience downtime, errors, data gaps, rate limiting, or service changes at any time.

3.2. proofnest does not control and cannot guarantee the availability, accuracy, completeness, or reliability of data obtained from third-party sources. Third-party data providers may change their data, APIs, terms of service, or pricing without notice to proofnest.

3.3. If one or more third-party data sources are temporarily unavailable during report generation, the report will be generated using available sources. Sections relying on unavailable data will be clearly marked. This does not constitute a defect or failure of the service.

3.4. Third-party services used in report generation include, but are not limited to, AI language models, search engine APIs, social media data providers, review aggregators, app store data services, SEO analytics providers, and web scraping services. proofnest is not responsible for the output, policies, or practices of these third-party services.

3.5. You acknowledge and agree that the quality, depth, and completeness of reports may vary depending on the topic, niche, geographic market, and availability of public data. Some niches may have limited publicly available data, resulting in reports with fewer data points.

4. What proofnest Reports Are Not

4.1. Not professional advice. Reports are not financial, legal, investment, tax, or business advice. Do not make business decisions, investments, or commitments solely based on proofnest reports. Always consult qualified professionals.

4.2. Not primary research. Reports synthesize and analyze existing publicly available data. proofnest does not conduct surveys, interviews, focus groups, or original data collection.

4.3. Not a guarantee of accuracy. AI analysis may contain errors, misinterpretations, hallucinations, or outdated information. The self-challenge layer reduces but does not eliminate inaccuracies.

4.4. Not a guarantee of business success. A "GO" verdict does not guarantee market success. A "RED" verdict does not guarantee market failure. Market conditions change. Reports reflect a snapshot based on available data at the time of generation.

4.5. Not a substitute for due diligence. Users should independently verify critical findings, especially before making significant financial commitments or business decisions.

5. Account Registration

5.1. You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

5.2. You must be at least 16 years old to use proofnest. One person or legal entity per account. Shared accounts are not permitted on individual plans.

5.3. One free report per person. Creating multiple accounts to obtain additional free reports is a violation of these Terms and may result in account termination.

5.4. You must notify us immediately of any unauthorized access to your account. proofnest shall not be liable for losses resulting from unauthorized use of your credentials.

6. Pricing and Payments

6.1. proofnest offers the following plans:

• Free: 1 report upon signup, no credit card required
• Single Report: €29 per report
• Pro 5: €123/month for 5 reports per month
• Business 10: €203/month for 10 reports per month

6.2. Subscription payments are billed monthly in advance through our secure payment processor. All prices are in EUR.

6.3. Unused reports do not roll over to the next billing cycle.

6.4. proofnest reserves the right to change pricing with 30 days written notice to existing subscribers. Price changes do not affect the current billing cycle.

6.5. Failed payments will be retried. After 7 days of failed payment, your subscription may be suspended. You retain access to previously generated reports during suspension.

Report Previews

New accounts receive one complimentary research preview. Preview reports include the verdict, executive summary, and select findings. Full report access requires a one-time purchase (€29) or active subscription. proofnest reserves the right to limit preview generation to prevent abuse.

7. Intellectual Property

7.1. Your content. You retain full ownership of the ideas, descriptions, hypotheses, and business concepts you submit. You grant proofnest a limited license to process your inputs solely for generating your report.

7.2. Your reports. Reports generated for you are your property once delivered. You may use, share, modify, and distribute your reports.

7.3. Our platform. The proofnest platform, brand, design, algorithms, methodologies, SKILL configurations, data pipelines, and underlying technology are the exclusive intellectual property of Hofmax Solutions Limited. You may not copy, reverse-engineer, decompile, disassemble, or create derivative works of any part of the platform.

7.4. Anonymized market data. After report generation, proofnest extracts anonymized, aggregated market data into its internal knowledge base. This data contains only publicly available information and is stripped of any identifying information about your specific idea. Your ideas, product names, and hypotheses are never included. This practice improves report quality for all users and is described in our Privacy Policy.

7.5. You may not use automated tools, bots, scrapers, or other programmatic means to access the service beyond normal usage.

8. Acceptable Use

8.1. You agree not to:

• Use the service for any illegal purpose
• Submit content that infringes third-party intellectual property rights
• Attempt to reverse-engineer or extract source code from the platform
• Share account credentials or resell access
• Intentionally overload or disrupt our systems
• Misrepresent AI-generated report findings as your own original primary research without attribution
• Use the service to generate content that is defamatory, fraudulent, or harmful

9. Report Generation and Delivery

9.1. Report generation typically takes 15-30 minutes for Deep Dive and 15 minutes for Trend Hunter. These are estimates, not guarantees. Generation time may vary based on data availability, system load, and third-party service response times.

9.2. In rare cases, report generation may fail due to technical errors, third-party service outages, or unexpected data issues. If a report fails to generate due to a technical error on our side, we will regenerate it at no additional cost or refund the payment at our discretion.

9.3. proofnest does not guarantee that reports will be generated within any specific timeframe. Delays caused by third-party service outages are not considered service failures.

10. Limitation of Liability

10.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROOFNEST SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use of or inability to use the service
• Any AI-generated content, analysis, verdict, or recommendation
• Decisions you make based on report findings
• Third-party data source inaccuracies, outages, or changes
• Unauthorized access to or alteration of your data
• Any matter relating to proofnest

10.2. proofnest's total aggregate liability for any claim related to the service shall not exceed the amount you paid to proofnest in the 12 months preceding the claim.

10.3. You expressly acknowledge that proofnest relies on third-party AI models and data services that may produce errors, hallucinations, or inaccurate results. You accept this inherent risk of AI-powered services.

11. Warranty Disclaimer

11.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI-GENERATED CONTENT.

11.2. proofnest does not warrant that:

• The service will be uninterrupted, timely, secure, or error-free
• Report results will be accurate, reliable, or complete
• AI-generated verdicts will correctly predict market outcomes
• All data sources will be available for every report
• The service will meet your specific requirements or expectations

11.3. proofnest expressly disclaims all liability for the output of third-party AI models, data providers, and APIs integrated into the service.

12. Indemnification

12.1. You agree to indemnify and hold harmless Hofmax Solutions Limited, its officers, directors, employees, agents, and contractors from any claims, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any third-party rights
• Decisions made based on report content
• Your misrepresentation of AI-generated content as original research

13. Account Termination

13.1. By you. You may delete your account at any time from Settings. Upon deletion, your personal data will be removed within 30 days. Reports and payment records may be retained per our data retention policy.

13.2. By us. We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, fail to pay for 30+ days, or abuse the platform.

13.3. proofnest shall not be liable to you or any third party for any termination of the service.

14. Force Majeure

14.1. proofnest shall not be held liable for failure to perform obligations due to circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, cyber attacks, internet outages, power failures, third-party API outages or changes, AI model provider disruptions, government actions, pandemics, or any other force majeure events.

14.2. Third-party data source outages, API rate limiting, AI model changes, and search engine policy changes are expressly included as force majeure events for purposes of this agreement.

15. Governing Law and Disputes

15.1. These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

15.2. Any disputes will first be attempted to resolve through good-faith negotiation. If unresolved within 30 days, disputes will be submitted to the exclusive jurisdiction of the courts of England and Wales.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
